Job Overview: A law firm in La Jolla, CA, seeks a Senior-Level Corporate Associate Attorney to provide expert legal counsel on mergers and acquisitions, corporate governance, and related matters. The ideal candidate will oversee transactional processes, manage junior associates, and ensure compliance with regulatory frameworks.

Job Duties:

  • Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and related matters.
  • Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements.
  • Conduct thorough due diligence investigations and prepare comprehensive reports for clients.
  • Manage and oversee junior associates and paralegals involved in various transactions.
  • Collaborate with cross-functional teams to ensure smooth execution of deals.
  • Stay updated on legal developments and industry trends to offer proactive and strategic advice to clients.
  • Represent clients in negotiations, mediations, and other dispute resolution processes, as necessary.
  • Ensure public securities and stock exchange compliance, including familiarity with 34 and 33 Act regulations (a plus).

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Minimum 5 years of experience with a strong foundation in mergers and acquisitions, securities matters, and lending work.
  • Admission to the California Bar is required.
  • Strong knowledge of corporate law, securities regulations, and corporate governance principles.
  • Excellent drafting and negotiation skills with meticulous attention to detail.
  • Proven ability to manage multiple complex projects simultaneously.
  • Exceptional analytical and problem-solving abilities.
  • Outstanding interpersonal and communication skills, both written and verbal.
  • Ability to work independently and collaboratively in a fast-paced, demanding environment.

Preferred Skills:

  • Experience with public securities and stock exchange compliance (34 Act and 33 Act).
