A law firm seeks a team-oriented Associate Attorney to join its Commercial Transactions team. This position is based in Indianapolis, IN, and offers an exciting opportunity to work on a diverse range of commercial contracts and transactions. The ideal candidate will have at least 4 years of experience drafting and negotiating complex commercial agreements. This role requires strong research and contract drafting abilities, effective communication skills, and the ability to manage multiple projects efficiently while collaborating with a dedicated team.

Duties:

  • Draft and negotiate various commercial contracts, including complex supply and distribution agreements, joint venture agreements, technology agreements, transition services agreements, and equipment sale/lease transactions.
  • Create and maintain contract templates, playbooks, and provide training for client teams on commercial agreements.
  • Collaborate with clients to understand their needs and deliver tailored legal solutions.
  • Manage commercial transactions from negotiation through closing, ensuring all legal requirements and client objectives are met.
  • Perform thorough legal research and provide expert analysis on commercial transactions.
  • Communicate effectively with clients, internal teams, and other stakeholders to keep projects on track and aligned with strategic goals.
  • Support senior attorneys in managing client relationships and developing new business opportunities.

Requirements:

  • At least 4 years of experience in a mid-to-large law firm, specifically in drafting and negotiating commercial contracts.
  • Proven experience in handling complex commercial transactions and agreements, such as global supply agreements, joint ventures, and technology contracts.
  • Strong contract drafting and legal research skills.
  • Excellent communication skills, with the ability to engage with clients effectively and manage client expectations.
  • Self-starter with the ability to manage multiple priorities efficiently in a fast-paced environment.
  • Strong team player, able to collaborate and share resources effectively.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the state bar in the jurisdiction where the position is located (or eligibility to obtain admission).

Skills:

  • Expertise in commercial contracts, including drafting, negotiating, and managing complex agreements.
  • Strong legal research, writing, and analytical skills.
  • Effective interpersonal and communication skills.
