A law firm seeks an experienced Of Counsel - Transactional Franchise Attorney to join its team in San Francisco, CA, with the option for remote work. This role is tailored for an attorney with significant experience in U.S. franchising regulations, particularly skilled in drafting franchise agreements and overseeing regulatory compliance. The position involves providing strategic counsel on complex business transactions within the franchise sector, supporting a diverse array of domestic and international clients.

Duties:

  • Draft and review franchise agreements, franchise disclosure documents, and other regulatory filings.
  • Guide intricate business transactions within the franchise and distribution sectors.
  • Advise clients on compliance with U.S. franchising laws, covering both domestic and international matters.
  • Collaborate with a team of attorneys on franchise-related litigation and transactional matters.
  • Work with a wide variety of clients, including emerging franchisors, established brands, private equity firms, and international companies entering the U.S. market.

Requirements:

  • Minimum of 8 years’ experience in transactional franchise law.
  • Strong knowledge of U.S. franchise regulations, with additional experience in international franchising or M&A preferred.
  • Admission to practice law in California, or eligibility for admission via waiver.
  • Excellent analytical, drafting, and writing skills.
  • Ability to work independently and in a collaborative team environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the California State Bar or eligibility for admission.
