Duties and Responsibilities:

  • Advise clients on executive compensation structures, including equity plans for private and public companies.
  • Draft, review, and negotiate executive employment agreements and related documentation.
  • Guide executive compensation provisions of the Internal Revenue Code (Sections 83, 162(m), 280G, and 409A).
  • Support clients through mergers, acquisitions, public offerings, and other significant corporate transactions.
  • Prepare and review proxy statements and other regulatory filings related to executive compensation.
  • Conduct legal research and stay current with tax, employee benefits, and executive compensation laws developments.
  • Collaborate with clients to design and implement executive compensation plans that align with business objectives and regulatory requirements.
  • Communicate complex legal concepts clearly and effectively to clients and colleagues.

Requirements:

  • 1-5 years of experience in executive compensation law or related areas such as tax, employee benefits, or corporate law.
  • Experience with equity plans, executive employment agreements, mergers and acquisitions, public offerings, and regulatory compliance.
  • Strong understanding of the Internal Revenue Code provisions related to executive compensation (Sections 83, 162(m), 280G, 409A).
  • Excellent oral and written communication skills.
  • Strong analytical and problem-solving abilities.
  • Proven enthusiasm for client service and a proactive approach to legal practice.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission.

Certifications:

  • None required, but executive compensation or related areas certification is a plus.

Skills:

  • Proficiency in drafting and negotiating complex legal documents.
  • In-depth knowledge of executive compensation laws and regulations.
  • Strong organizational and project management skills.
  • Ability to work effectively both independently and as part of a team.
  • High level of attention to detail and accuracy.
