Job Overview:
A respected law firm based in Dallas is seeking two seasoned legal professionals with significant experience in renewable energy project finance. One role focuses on debt-related transactions, while the other centers around tax equity and mergers & acquisitions. The firm offers an exceptional platform to engage with high-profile clients across the energy infrastructure sector, providing strategic legal counsel in the development, acquisition, and financing of renewable energy assets. This position offers direct client interaction and meaningful responsibility on complex, market-shaping projects.

Duties:

  • Lead and manage energy-related project finance transactions with a focus on either:

    • Debt financing structures (construction loans, term loans, equipment financings), or

    • Tax equity investments, M&A, and joint venture arrangements in the renewable energy space

  • Draft, review, and negotiate a wide range of transaction documents, including:

    • Loan agreements, term sheets, security instruments, collateral consents, and guarantees (for debt role)

    • Equity capital contribution agreements, joint venture documents, partnership agreements, purchase agreements, and related instruments (for tax equity/M&A role)

  • Advise on project development contracts such as EPC agreements, supply contracts, offtake arrangements, and O&M agreements

  • Supervise and mentor junior associates involved in transactions

  • Coordinate with clients, advisors, and counterparties to manage and execute deals efficiently

  • Contribute to a collaborative legal team handling high-stakes infrastructure and energy financing matters

Requirements:

  • Minimum of 5 years of experience in renewable energy project finance, gained at a nationally recognized law firm or an equivalent in-house position

  • Demonstrated expertise in either:

    • Debt financing of energy infrastructure projects, or

    • Tax equity structuring and/or M&A transactions in the energy sector

  • Familiarity with contracts and instruments associated with project development and operations

  • Proven ability to manage deal timelines, workstreams, and communication with all stakeholders

Education:

  • Juris Doctor (JD) from a highly regarded law school

Certifications:

  • Active admission to the State Bar of Texas, or eligibility to become a member in good standing

Skills:

  • Superior writing, research, and analytical capabilities

  • Strong verbal communication and negotiation skills

  • Excellent organizational and project management abilities

  • Team-oriented with leadership capacity

  • Adept at navigating complex commercial and legal frameworks
