A law firm is seeking a Mid-Level Mergers and Acquisitions Associate Attorney for its San Francisco, CA office.

 

Job Overview:

  • Play a key role in handling a variety of transactions including acquisitions, divestitures, mergers, joint ventures, and private equity deals.
  • Lead due diligence efforts and draft ancillary agreements, ensuring thoroughness and accuracy throughout the process.
  • Contribute expertise across all aspects of transactions, demonstrating a comprehensive understanding of deal structures and legal requirements.

 

Duties:

  • Lead due diligence investigations, analyzing and synthesizing findings to identify potential risks and opportunities.
  • Draft and negotiate a wide range of transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.
  • Provide strategic counsel to clients on deal structuring, regulatory compliance, and corporate governance matters.
  • Collaborate with interdisciplinary teams, including finance, tax, and regulatory specialists, to provide comprehensive transactional support.

 

Requirements:

  • 2-4 years of experience in mergers and acquisitions transactions at a reputable law firm or in-house legal department.
  • Admission to the California Bar.
  • Excellent academic credentials, including a Juris Doctor (JD) degree from an accredited law school.
  • Demonstrated experience leading due diligence processes and drafting transactional documents.
  • Strong written and verbal communication skills.
  • Ability to thrive in a fast-paced, deadline-driven environment while working independently and collaboratively within a team.

 

Certifications:

Admission to the California Bar.

 

Skills:

  • Proficiency in legal research tools and databases.
  • Attention to detail and precision in document review and drafting.
  • Strong analytical and problem-solving abilities.
