The ideal candidate should have a strong understanding of public company reporting obligations, SEC compliance, public securities offerings, corporate governance, and debt and equity markets transactions. The candidate must possess excellent writing skills, superior academic credentials, and the ability to work independently on multiple assignments.

Duties and Responsibilities:

  • Provide legal counsel on corporate securities matters, including public and private offerings of equity and debt securities.
  • Advise clients on compliance with public company reporting obligations, ensuring adherence to SEC regulations, including filings under the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Draft and review legal documents such as registration statements, offering memoranda, prospectuses, and other disclosures for public securities offerings.
  • Lead due diligence teams for capital markets transactions, coordinating with specialists to ensure compliance and thorough review of necessary documents.
  • Offer guidance on corporate governance matters, including drafting governance documents and advising on best practices.
  • Assist clients with regulatory compliance, corporate governance, and SEC filings, providing ongoing support for required disclosures and corporate actions.
  • Stay up to date with evolving SEC regulations and market trends, advising clients on the impact of regulatory changes.
  • Manage and coordinate multiple assignments and transactions simultaneously with minimal supervision.
  • Collaborate with clients and internal teams to support various aspects of securities offerings and corporate compliance.

Requirements:

  • 2-5 years of experience in corporate law, with a strong focus on securities law and capital markets transactions.
  • Extensive knowledge of public company reporting obligations, SEC compliance, public securities offerings, and corporate governance requirements.
  • Experience leading due diligence efforts and managing specialist teams for securities transactions.
  • Proven ability to draft, review, and negotiate key legal documents related to securities offerings and SEC filings.
  • Demonstrated ability to manage multiple, complex assignments and meet tight deadlines.
  • Excellent research, writing, and communication skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law and in good standing with the Delaware Bar (or eligibility for admission).

Skills and Qualifications:
