A law firm seeks an experienced Mergers & Acquisitions (M&A) Resource Attorney to join its San Diego office. The ideal candidate will bring at least seven years of experience in corporate M&A, including both public and private transactions. This role is designed for an attorney with strong organizational skills who can support the firm's M&A practice by managing resources, curating precedents, maintaining transaction databases, and providing legal updates. The M&A Resource Attorney will also assist with business development and legal education efforts while supporting ongoing initiatives to improve knowledge management within the firm.

Duties

  • Transaction Database Management

    • Manage and input deal terms from finalized transactions into the firm’s M&A transaction database.
    • Collaborate with the knowledge management team to ensure the database remains accurate and up-to-date.
  • Form and Precedent Drafting

    • Draft new templates or revise existing precedents related to M&A transactions.
    • Organize and maintain the firm's M&A forms and related resources for easy access.
  • Legal Updates

    • Monitor and analyze legal and regulatory developments impacting M&A practices.
    • Prepare and distribute summaries, alerts, and updates on legal changes.
  • Legal Education and Training

    • Coordinate with the firm's education team to develop content for training sessions aimed at associates and staff.
    • Contribute to the creation of educational materials for firmwide M&A training efforts.
  • Marketing and Business Development

    • Work closely with the firm’s M&A marketing team to develop content for business development, including articles, blogs, presentations, and pitches.
    • Assist in creating marketing materials for the firm’s promotional efforts related to M&A services.
  • Assisting Attorneys

    • Field day-to-day requests from attorneys for precedents, templates, and other resources.
    • Provide support on ongoing projects and ensure resources are readily available for use by the legal team.
  • New Initiatives

    • Contribute to new resource management, knowledge management, and practice innovation projects as needed.
  • Additional Duties

    • Perform other related tasks as required by the firm or team.

Requirements

  • At least 7 years of experience in a corporate/transactional M&A practice in the United States.
  • Strong understanding of both public and private M&A transactions, corporate governance, board fiduciary duties, and market trends.
  • Excellent drafting and organizational skills, with a keen attention to detail.
  • Ability to manage multiple ongoing projects and collaborate effectively with attorneys and other stakeholders.
  • Demonstrated flexibility and willingness to support new initiatives and evolving resource needs.
  • Previous experience in a team-oriented environment, with the ability to work collaboratively with senior and junior team members.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active membership in a state bar, with eligibility to practice law in California.
