Job Overview

A law firm seeks an experienced Finance & Restructuring Counsel with at least seven years of transactional experience to join its growing practice. This position offers the opportunity to work with financial institutions and corporate trust clients on complex corporate trust transactions, including structured finance, municipal debt, and corporate debt. The ideal candidate will have expertise in reviewing, negotiating, and drafting a variety of financial agreements while being able to manage multiple projects with minimal supervision.

Duties

  • Represent financial institutions and corporate trust clients in a variety of corporate trust transactions, including structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances.
  • Review, negotiate, and draft transactional documents such as trust indentures, loan agreements, custodial agreements, SaaS contracts, software licenses, third-party vendor contracts, service schedules, and other related agreements.
  • Provide strategic guidance to clients in structuring transactions and managing financial risks.
  • Manage multiple transactions and assignments efficiently with minimal supervision.
  • Mentor and manage junior lawyers and paralegals while fostering a collaborative team environment.
  • Build and maintain strong client relationships by providing exceptional service and practical solutions to complex legal matters.

Requirements

  • At least 7 years of experience in finance and restructuring law with a focus on corporate trust transactions.
  • Strong expertise in drafting and negotiating a variety of transactional agreements, such as loan agreements, trust indentures, SaaS contracts, and non-disclosure agreements.
  • Proven ability to manage multiple transactions simultaneously with minimal oversight.
  • Excellent written and verbal communication skills, with the ability to articulate complex legal concepts clearly.
  • Strong client service orientation and the ability to work effectively in a team setting.
  • Demonstrated ability to mentor junior team members and work collaboratively.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Admission to the relevant state bar (or eligibility to obtain admission promptly).

Skills

  • Advanced drafting and negotiation skills in the finance and restructuring space.
  • Strong knowledge of corporate trust transactions, including structured finance, municipal debt, and corporate debt.
