Job Overview:

A leading AmLaw firm is seeking a Capital Markets Associate Attorney with 3–4 years of experience to join its New York office within the Emerging Growth Company (EGC) team. This role offers the opportunity to work on high-impact matters involving company formation, private financings, mergers & acquisitions, and U.S. securities law. Ideal candidates will bring strong law firm experience, a high level of professionalism, and the drive to contribute meaningfully to a fast-paced and strategically significant practice area.

Location:

  • New York, NY

Duties:

  • Advise emerging growth companies through all stages of the business lifecycle

  • Handle legal matters related to company formation and structuring

  • Draft and negotiate equity and debt financing documents for private companies

  • Provide legal support on mergers & acquisitions transactions

  • Counsel clients on compliance with U.S. securities laws and public offerings

  • Support clients in capital raising transactions, including venture financings

  • Review and prepare disclosure documents, securities filings, and regulatory reports

  • Coordinate with internal teams and external advisors on complex corporate transactions

Requirements:

  • 3–4 years of capital markets and emerging company experience in a law firm setting

  • Background in private equity or venture-backed financing transactions preferred

  • Proven experience with public and private offerings, corporate governance, and M&A

  • Client-facing experience with the ability to manage relationships independently

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

  • Strong academic credentials required

Certifications:

  • Admission to the New York State Bar and in good standing

Skills:

  • Deep understanding of U.S. securities laws and related regulatory frameworks

  • Strong drafting, negotiation, and legal analysis skills

  • Excellent verbal and written communication abilities

  • Proven ability to manage multiple transactions under tight deadlines

  • Business-minded approach with client service orientation

  • Team player with the initiative to work independently when needed
