Duties and Responsibilities:

  • Securities and Capital Markets Expertise:
    • Provide legal advice on public company reporting obligations and SEC compliance.
    • Guide clients through public securities offerings, including debt and equity transactions.
    • Ensure adherence to corporate governance requirements and regulatory standards.
  • Advisory and Compliance:
    • Advise clients on reporting requirements and compliance with federal securities laws.
    • Draft, review, and negotiate legal documents related to securities offerings and capital markets transactions.
  • Due Diligence and Team Management:
    • Lead due diligence efforts for securities transactions, coordinating with internal and external teams.
    • Manage and supervise specialists and junior attorneys involved in capital markets projects.
  • Document Drafting and Review:
    • Prepare and review registration statements, prospectuses, underwriting agreements, and other related documents.
    • Ensure accuracy and compliance in all drafted materials.
  • Project Management:
    • Manage multiple assignments simultaneously, ensuring timely and effective completion.
    • Work independently with minimal supervision, demonstrating strong organizational skills.

Requirements:

  • Experience:
    • 2-5 years of experience in corporate law, specifically in securities law advice and capital markets transactions.
    • Demonstrated expertise in public company reporting obligations and SEC compliance.
  • Education and Certifications:
    • Juris Doctor (JD) from an accredited law school.
    • Admission to the Indiana State Bar or eligibility for admission.
  • Skills and Qualifications:
    • In-depth knowledge of securities laws, public reporting requirements, and capital markets regulations.
    • Exceptional legal drafting and writing skills, with a focus on precision and clarity.
    • Strong academic credentials and analytical skills.
