Job Overview:
A leading law firm is seeking a junior associate to join its growing Financial Services Practice in various offices across the United States. The ideal candidate will have 2-3 years of experience in project finance, including “plain vanilla” project financings, tax equity bridge loans, backleverage financings, or pre-NTP financings. Both lender- and borrower-side experience is acceptable. The role offers an opportunity to gain extensive experience in drafting and negotiating key project finance documents, managing complex transactions, and working in a fast-paced, team-oriented environment.

Location:

  • New York, NY

Duties:

  • Draft and negotiate credit facilities, depositary account agreements, letters of credit, and performance/payment bonds
  • Work on balance of plant agreements, supply agreements (e.g., transformer, module, BESS, turbine, inverter), and offtake/tolling agreements
  • Prepare and finalize security documents, including security agreements, pledge agreements, financing statements, and control agreements
  • Draft NY-law legal opinions, direct agreements, consents to collateral assignments, and reliance letters
  • Conduct due diligence and prepare bankability analysis for project documents
  • Assist with the preparation and execution of project finance transactions, ensuring compliance with legal standards
  • Collaborate with senior associates and partners in managing client relationships and advising on complex project finance matters

Requirements:

  • 2-3 years of experience in project finance, with familiarity on both the lender and borrower sides
  • Experience drafting and negotiating project finance documents, such as credit agreements, project documents (e.g., EPC contracts, offtake agreements, supply agreements), and security documents
  • Familiarity with LSTA Credit Agreements, New York law-governed security documents, and project documents
  • Strong academic credentials from an accredited law school
  • Entrepreneurial mindset with a proactive approach to client service and team collaboration
  • Ability to work both independently and in a team-oriented, fast-paced environment
  • Excellent verbal and written communication skills

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Admission to the bar

Skills:

  • Strong drafting, negotiation, and legal analysis skills in project finance
  • Expertise in project finance documentation, including credit agreements, supply agreements, and security agreements
  • In-depth knowledge of LSTA Credit Agreements and New York law-governed security documents
  • Ability to manage multiple tasks and deadlines in a fast-paced environment
  • Strong client communication and organizational skills
  • Detail-oriented with the ability to think critically and independently
