A law firm seeks an experienced and highly motivated associate to join its distinguished Commercial Mortgage-Backed Securities (CMBS) Finance practice. This position offers the opportunity to work on complex real estate finance and capital market transactions, with a particular focus on commercial real estate lending, securitization, and related servicing matters. The ideal candidate will have 3-6 years of experience in finance law and possess a strong understanding of the securities and capital markets landscape, with a commercial, client-focused approach. Duties:

  • Manage and handle various finance-related transactions, particularly in real estate capital markets and securities.
  • Assist in the execution of commercial real estate lending and securitization transactions.
  • Provide legal counsel on modifications, workouts, and other servicing transactions.
  • Draft, review, and negotiate legal documents, including loan agreements, securities filings, and capital markets contracts.
  • Advise clients on the risks and opportunities associated with complex finance transactions.
  • Collaborate with colleagues across different practice areas to deliver holistic legal solutions to clients.
  • Build and maintain strong client relationships, serving as a trusted advisor in CMBS and related finance matters.
  • Monitor market trends and legal developments to offer cutting-edge advice to clients.

Requirements:

  • At least 3-6 years of experience in finance, real estate, or capital markets law.
  • In-depth knowledge of commercial real estate finance, securitization, and capital markets transactions.
  • Experience handling modifications, workouts, and servicing transactions in the real estate finance sector.
  • Proven ability to draft complex transactional documents and communicate legal concepts clearly.
  • Strong analytical, problem-solving, and negotiation skills.
  • Client-focused attitude, with an ability to manage relationships and deliver results.
  • Comfortable working independently as well as in a team-oriented environment.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in Illinois, or willingness to seek admission to the Illinois Bar.

Certifications:

  • Licensed to practice law in Illinois (or in the process of obtaining Illinois licensure).

Skills:

  • Expertise in real estate finance, securities law, and capital markets.
  • Experience in CMBS, commercial real estate lending, and securitization.
  • Strong drafting and negotiation skills for transactional documents.
  • Ability to analyze complex legal and financial situations with attention to detail.
  • Excellent written and oral communication skills.
  • A proactive, client-driven approach to legal work, with a focus on strategic solutions.
