A law firm is seeking a Mid-to-Senior-Level Capital Markets Associate Attorney with 4-6 years of experience for their Chicago, IL office. The ideal candidate:

Job Overview:

Duties:

  • Represent underwriters, issuers, and placement agents in IPOs, follow-on public offerings, private placements, and other securities offerings.
  • Provide counsel on securities regulations and compliance matters.
  • Draft and review legal documents related to capital market transactions.
  • Conduct due diligence and risk assessment for securities offerings.
  • Collaborate with other attorneys and legal staff on complex transactions.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Illinois State Bar or eligibility for admission via reciprocity.
  • 4-6 years of experience in U.S. capital markets, preferably focusing on IPOs, follow-on offerings, and private placements.
  • Experience representing public companies in the ’34 Act work is a plus.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple tasks and deadlines in a fast-paced environment.
  • Strong attention to detail and accuracy.

Certifications:

  • Admission to the Illinois State Bar or eligibility for admission via reciprocity.

Skills:

  • In-depth knowledge of U.S. securities laws and regulations.
  • Ability to analyze complex legal issues and provide practical solutions.
  • Proficiency in drafting legal documents and agreements.
