Job Overview: A prestigious law firm in San Francisco, CA, is seeking a Global Equity Compensation and Employment Associate Attorney with 3-5 years of experience to join its Global Employment, Equity Compensation, and Immigration practice. The successful candidate will play a vital role in advising clients on a wide array of equity compensation and employment issues, focusing on both large multinational companies and emerging businesses. Duties:

• Counsel clients on equity compensation and employment matters, including compliance for stock option (SO), restricted stock unit (RSU), and employee stock purchase plan (ESPP) programs.
• Manage securities and foreign exchange filings related to equity programs.
• Address issues such as leaves of absence, accommodations, return to office protocols, independent contractor classifications, employment agreements, and performance management.
• Prepare multi-country analyses and draft employment and compensation-related documents.
• Conduct multijurisdictional research and assist in the preparation and delivery of analysis to clients.
• Engage in employment agreements, handbooks, bonus and commission plans, and equity compensation aspects of global M&A transactions.

Requirements:

• 3-5 years of experience in employee equity compensation or employment counseling, with a preference for cross-border experience.
• Strong academic credentials and exceptional verbal, written, and interpersonal skills.
• Admission to the California State Bar is mandatory.
• Direct experience with the listed duties is highly valued.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active membership in the California State Bar.
