Job Overview

A prestigious law firm is seeking an associate attorney with 2-4 years of relevant experience to join the Fund Formation & Investment Management (FFIM) Practice Group. The role offers the opportunity to work in a dynamic, fast-paced, and growing team, providing a full range of services to General Partners (GPs) and Limited Partners (LPs) within the private funds industry. The position is based in Boston, but qualified candidates from Chicago, New York, or other offices may also be considered based on experience and business needs.

Duties

  • Assist with fund formation and investment management work for GPs and LPs.
  • Handle fund and management structuring, side letter negotiations, and secondary sales of LP fund stakes (both buy- and sell-side).
  • Participate in GP-led fund restructurings.
  • Provide counsel on Investment Advisers Act registration and compliance.
  • Draft sophisticated legal documents for complex projects and transactions.
  • Collaborate with multiple attorneys and paralegals on transactions.
  • Directly interact with senior attorneys and clients.

Requirements

  • 2-4 years of fund formation and investment management experience.
  • Experience in fund structuring, side letter negotiations, secondary sales of LP fund stakes, and GP-led fund restructurings.
  • Working knowledge of the Investment Advisers Act and the Securities Act as it relates to private investment funds.
  • Strong document drafting skills and experience navigating complex transactions.
  • Ability to work as part of a collaborative team, interacting with partners, senior associates, and clients.
  • Proactive attitude, strong interpersonal skills, and exceptional work ethic.

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school.

Certifications and Skills

  • Active and in good standing member of the Bar in the jurisdiction where the candidate is admitted.
  • Timely admission to the Bar in the jurisdiction of the hiring office (if not already admitted) is required.
  • Superior interpersonal, drafting, and research skills.
  • Strong organizational skills and attention to detail.
