A law firm seeks a Technology & Outsourcing Associate to join their growing team in Charlotte, NC. This is an excellent opportunity for an attorney with 3-5 years of experience in technology transactions, particularly in the areas of intellectual property (IP) licensing, SaaS agreements, and business process outsourcing. The ideal candidate will work with high-profile clients in the technology, financial, telecommunications, and life sciences sectors, contributing to complex legal matters and business transactions.

Duties:

  • Draft, structure, and negotiate technology agreements, including IP licensing, SaaS, hardware and maintenance agreements, distribution agreements, professional services agreements, and marketing agreements
  • Advise clients on legal and regulatory issues related to technology licensing, distribution agreements, privacy, AI, and information security
  • Collaborate with corporate and IP teams on technology-related matters in mergers and acquisitions
  • Provide strategic legal counsel to clients on emerging trends in the tech, financial, telecommunications, healthcare, and life sciences sectors
  • Conduct thorough legal analysis and risk assessments, identifying potential issues and providing proactive recommendations
  • Assist in the creation and refinement of standard agreements and playbooks for clients
  • Manage and prioritize multiple legal matters simultaneously, ensuring timely and high-quality work

Requirements:

  • 3-5 years of experience in technology transactions, IP licensing, and business process outsourcing agreements
  • Familiarity with negotiating complex agreements such as SaaS, distribution, purchase, and professional services contracts
  • Experience with M&A and corporate transactions, particularly within the technology sector
  • Strong academic credentials and a track record of success in similar legal roles
  • Excellent written, oral, and interpersonal communication skills
  • Ability to work both independently and as part of a collaborative legal team
  • North Carolina Bar membership required

Education:

  • J.D. from an accredited law school
  • A solid academic background with a focus on technology law and related areas

Certifications:

  • Active membership in the North Carolina Bar

Skills:

  • Expertise in drafting, structuring, and negotiating complex technology and outsourcing agreements
  • Strong understanding of intellectual property law, privacy, data security, and emerging technologies
  • Exceptional legal research, writing, and drafting skills
  • Ability to effectively communicate complex legal concepts to both clients and colleagues
  • Strong project management skills with the ability to manage multiple matters under tight deadlines
