A well-established law firm in Cleveland, OH is seeking a skilled and experienced Employee Benefits Associate Attorney to join their Employee Benefits and Executive Compensation group. The ideal candidate will have extensive experience in employee benefits and executive compensation law, with a focus on legal compliance and due diligence, particularly in mergers and acquisitions. The role offers the opportunity to work with top-tier clients and gain invaluable exposure to a wide range of employee benefits matters.

Duties:

  • Provide legal counsel on employee benefits matters, including both qualified and nonqualified retirement plans, health and welfare plans, and executive compensation.

  • Lead due diligence and transition matters related to employee benefits in mergers and acquisitions.

  • Advise clients on legal compliance with federal and state laws, such as ERISA, the Internal Revenue Code, and the Affordable Care Act.

  • Draft and negotiate various benefits-related documents, including plan documents, service provider agreements, employee communications, and related materials.

  • Collaborate effectively with cross-functional teams, including legal, human resources, and finance, to ensure smooth benefits administration and adherence to fiduciary and legal compliance.

Requirements:

  • Juris Doctor (JD) degree with active bar membership in Ohio.

  • Minimum of 5 years of experience in employee benefits and executive compensation law.

  • Strong understanding of ERISA and related federal and state laws.

  • Demonstrated expertise in legal compliance and advising on complex employee benefits matters.

  • Excellent communication, negotiation, and interpersonal skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active bar membership in the State of Ohio.

Skills:

  • Strong expertise in employee benefits, including retirement plans and health/welfare plans.

  • Experience with mergers and acquisitions from a legal perspective.

  • Proficiency in drafting legal documents related to employee benefits and executive compensation.

  • Ability to collaborate with various teams, including HR and finance, to ensure compliance and effective benefits management.

  • High-level communication and negotiation skills, both written and verbal.
