Job Overview:
A leading law firm is seeking a highly skilled Investment Funds Associate with at least two years of hedge fund experience. This role involves working on hedge fund formations ranging from institutional to emerging managers. The successful candidate will have experience drafting and reviewing key fund documents, including private placement memoranda, limited partnership agreements, investment management agreements, subscription documents, side letters, and separately managed account agreements. Associates should have a solid understanding of U.S. regulations governing hedge funds, with more senior candidates expected to have negotiation experience. Location:

Duties:

  • Assist with the formation of hedge funds, advising institutional clients and emerging managers.
  • Draft and review key hedge fund documents such as private placement memoranda, limited partnership agreements, investment management agreements, and subscription documents.
  • Advise on regulatory compliance and the structuring of hedge funds.
  • Collaborate with senior associates and partners on fund launches and complex legal matters.
  • Provide support on negotiation of terms for fund structures, management agreements, and side letters.
  • Stay updated on industry developments and the evolving regulatory environment.

Requirements:

  • At least two years of experience in hedge fund formation or a related practice area.
  • Experience drafting hedge fund offering and operating documents (e.g., private placement memoranda, limited partnership agreements).
  • Solid understanding of U.S. regulatory regimes governing hedge funds.
  • Negotiation experience (for more senior associates).
  • Exposure to seed deals, hybrid funds, closed-end funds, or investor-side representation is beneficial, but not required.
  • Ability to thrive in a fast-paced, collaborative environment.
  • Strong organizational skills and attention to detail.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in the Bar of the state in which the associate will be working (New York or Texas).

Skills:

  • In-depth knowledge of hedge fund formation and regulation.
  • Strong drafting skills for key hedge fund documents and agreements.
  • Excellent verbal and written communication skills.
  • Ability to advise clients on complex fund formation and regulatory matters.
  • Strong negotiation skills for more senior associates.
  • Proactive, client-focused approach to legal work.
