A law firm in San Francisco, CA, is seeking a Projects M&A Associate Attorney with a strong focus on domestic and international business transactions, particularly in the energy sector. The role involves working on high-profile projects related to renewable energy, energy storage, and power generation technologies, and managing a variety of M&A transactions including acquisitions, joint ventures, and project divestitures.

Job Description:

Duties:

  • Advise clients on a broad spectrum of energy transactions, including mergers and acquisitions, joint ventures, and project development.
  • Draft, review, and negotiate intricate transaction documents such as purchase agreements, joint venture and joint development agreements, and development services agreements.
  • Conduct thorough due diligence for projects M&A deals, including reviewing project development documents and conducting comprehensive legal research.
  • Collaborate with internal and external stakeholders, including clients and colleagues in specialized areas such as tax, regulatory, and real estate.
  • Stay updated on industry trends and changes in project development, M&A, and finance law.
  • Provide support on other legal matters concerning project development and M&A as needed.

Requirements:

  • 3-7 years of experience in projects M&A, preferably with a focus on energy transactions.
  • Previous experience in law firm mergers & acquisitions or project finance, ideally in a sophisticated national law firm environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the California State Bar or eligibility for admission.

Skills:

  • Strong understanding of domestic and international business transactions, particularly in the energy sector.
  • Excellent proficiency in drafting, negotiation, and communication.
  • Ability to conduct meticulous due diligence and legal research.
  • Strategic thinker with exceptional analytical and problem-solving skills.
  • Capability to collaborate effectively within diverse teams and with various stakeholders.
  • Detail-oriented with outstanding organizational abilities.
