Job Title: Energy Project Finance Attorney

Job Overview:

A prominent law firm located in Washington, DC is seeking two experienced attorneys to join its dynamic legal practice focused on energy project financing. This opportunity is ideal for legal professionals passionate about sustainable energy and infrastructure development. The successful candidates will support major transactions involving renewable energy projects, with one role concentrating on debt financing and the other on tax equity and mergers/acquisitions. This is a high-responsibility position offering direct involvement with influential clients and mission-critical legal work in a fast-growing sector.

Duties:

  • Lead and manage complex energy project transactions, either in debt financing or tax equity/M&A

  • Represent developers, sponsors, and financiers in the development, acquisition, and funding of renewable energy assets

  • Draft and negotiate key transactional documents, including:

    • For Debt Role:

      • Construction and term loan agreements

      • Collateral and security instruments

      • Ancillary debt-related contracts and consents

    • For Tax Equity/M&A Role:

      • Capital contribution and partnership agreements

      • Equity investment, joint venture, and acquisition contracts

      • Ancillary M&A documentation, including estoppels and guarantees

  • Advise clients on project lifecycle contracts such as EPC, supply, offtake, and operations & maintenance agreements

  • Coordinate closely with clients, advisors, and internal legal teams to manage deal flow and ensure compliance

  • Mentor junior attorneys and oversee aspects of deal execution and client communications

Requirements:

  • Minimum of 5 years of experience handling project finance transactions in the energy or infrastructure sectors

  • Proven record working with complex financing structures, particularly in renewable energy

  • Significant exposure to drafting sophisticated financial and corporate agreements

  • Effective team leadership, communication, and client-facing capabilities

  • Ability to manage end-to-end deal processes independently or as part of a legal team

Education:

  • Juris Doctor (J.D.) from an accredited law school with a strong academic background

Certifications:

  • Active membership in the District of Columbia Bar, or eligibility to waive in

Skills:

  • Advanced legal drafting and negotiation techniques

  • Strong command of transactional and regulatory considerations in energy finance

  • Analytical rigor and the ability to solve complex legal and business challenges

  • Collaborative mindset and ability to manage cross-functional legal matters

  • Competency in advising on both domestic and cross-border energy deals
