Job Overview:
A prestigious law firm is seeking a Junior M&A Corporate Attorney to join their Business and Technology team. This is an excellent opportunity for an attorney with 2–3 years of experience in mergers and acquisitions to build a career in an AmLaw 200 firm. Location:

  • San Diego, CA

Duties:

  • Create and manage closing checklists for transactions.
  • Prepare basic transaction and contract documents.
  • Conduct due diligence reviews and draft disclosure schedules.
  • Assist with transactions, including drafting organizational and approval documents.
  • Prepare corporate formation and transfer documents.
  • Organize and manage data rooms, due diligence memoranda, and rep/warranty calls.
  • Support securities law analysis and transactions.

Requirements:

  • Admission to the California Bar and excellent academic credentials.
  • 2-3 years of experience in mergers and acquisitions, including due diligence, transaction document preparation, and supporting the deal process.
  • Strong working knowledge of M&A and financing due diligence, deal processes, and corporate authority concepts.
  • High attention to detail and responsiveness.
  • Strong analytical and critical thinking skills.
  • A team-oriented mindset with a commitment to professionalism, client service, and business development.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the California Bar.

Skills:

  • Strong proficiency in preparing corporate documents and managing complex transactions.
  • Familiarity with due diligence processes and disclosure schedules.
  • Ability to manage multiple tasks with high attention to detail.
  • Excellent communication, research, and organizational skills.
  • Proficient in the use of legal software and Microsoft Office Suite.
