Job Overview:
A leading international law firm is seeking mid-level associates with significant experience managing and negotiating debt finance transactions. This role offers the opportunity to handle multi-jurisdictional transactions in collaboration with global finance teams. Ideal candidates will have a strong academic background, experience in domestic and cross-border financing, and the ability to work effectively in a fast-paced, high-pressure environment.

Location:

Duties:

  • Draft, review, and negotiate commitment letters, term sheets, loan, and security documentation.
  • Prepare and review issues lists, summary grids, and client feedback.
  • Conduct legal research based on client needs.
  • Manage deal teams and processes from initial discussions through closing and post-closing matters.
  • Perform due diligence for financing transactions.
  • Serve as the primary contact for clients, opposing counsel, and other legal teams.
  • Assist clients with ongoing deal administration, including amendments, collateral matters, and interpretive questions.
  • Provide direct assistance to senior lawyers on day-to-day legal services.
  • Attend and present at educational seminars and participate in continuing education classes.
  • Mentor and train junior team members.

Requirements:

  • Minimum of two years of debt finance experience.
  • Preferred experience in sponsored finance, syndicated lending, acquisition/leveraged finance, or direct lending.
  • Experience in fund finance is a plus.
  • Strong academic background with a focus on commercial and business awareness.
  • Excellent drafting, time management, and communication skills.
  • Ability to manage multiple projects and stay calm under pressure.
  • Strong professional presence with a client service focus.
  • Proactive, resourceful, and self-starter with sound judgment.
  • Fluency in English is required; fluency in Spanish is a plus.
  • Admitted to the bar and in good standing.

Education:

  • Juris Doctor (JD) or equivalent legal degree from an accredited institution.

Certifications:

  • Admitted to the bar in relevant jurisdictions.
