The ideal candidate should have strong academics, analytical skills, and experience working with privately held companies. Handle corporate transactions with direct client contact and negotiate national and international M&A deals. Finance and private equity experience are beneficial.

Job Duties:

  • Handle various corporate transactions, including M&A, general corporate work, and private equity transactions.
  • Conduct due diligence reviews and analyze legal issues related to transactions.
  • Draft and review transactional documents, including purchase agreements, shareholder agreements, and financing documents.
  • Communicate directly with clients and advise them on legal matters related to transactions.
  • Negotiate terms and agreements with counterparties.
  • Collaborate with partners and senior attorneys on deal structuring and strategy.
  • Manage multiple transactions simultaneously and meet deadlines.

Requirements:

  • 3-5 years of strong transactional experience, including M&A and general corporate work.
  • Strong academic credentials from a reputable law school.
  • Experience working with privately held companies.
  • Admission to practice law in Virginia or eligibility to be licensed.
  • Finance and private equity experience preferred.
  • Excellent analytical, communication, and negotiation skills.
  • Ability to work independently and as part of a team.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
