Job Overview
A leading law firm is seeking a skilled and experienced associate to join its Corporate Finance team, focusing on Restructuring & Special Situations Finance in San Francisco. The ideal candidate will have significant experience representing creditors or borrowers in liability management transactions, DIP financings, bankruptcy exit financings, and/or special situations financings. The position offers an opportunity to work with top-tier financial institutions, including hedge funds, CLOs, private equity funds, and other financial entities involved in complex Chapter 11 cases and out-of-court restructurings.

Duties

  • Represent creditors or borrowers in connection with liability management transactions, DIP financings, bankruptcy exit financings, and special situations financings.
  • Work primarily with the Global Finance team in collaboration with the Business Restructuring & Reorganization team.
  • Handle high-profile representations involving top-of-the-capital-structure transactions.
  • Represent hedge funds, CLOs, private equity funds, and other financial institutions in Chapter 11 cases and out-of-court restructurings.
  • Provide strategic legal counsel on complex financial restructuring issues.
  • Draft and review transaction documents, including financing agreements and other legal contracts.
  • Participate in negotiations and manage relationships with clients and opposing counsel.

Requirements

  • 5-8 years of experience in restructuring and special situations finance (for associates from law school class years 2017 to 2020).
  • Experience in representing creditors or borrowers in Chapter 11 cases, out-of-court restructurings, and related transactions.
  • Strong understanding of liability management, DIP financings, and bankruptcy exit financings.
  • Ability to handle high-pressure transactions and complex legal matters.
  • Exceptional communication, negotiation, and problem-solving skills.
  • Strong academic background and a keen interest in financial restructuring.

Education

  • J.D. (Juris Doctor) from an accredited law school.

Certifications

  • Admission to the State Bar (California) required.

Skills

  • Extensive knowledge of bankruptcy law, special situations finance, and restructuring transactions.
  • Strong drafting, negotiation, and transactional skills.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and manage high-stakes legal matters.
