A law firm in Bloomington, MN, is seeking a highly skilled Business and Corporate Attorney with M&A experience to join its dynamic legal team. The ideal candidate will provide expert counsel on a wide range of business transactions, corporate governance matters, and mergers & acquisitions, supporting small to mid-sized clients.

Duties:

  • Work closely with the business and corporate law practice group to handle general business, corporate, and M&A matters.
  • Draft and negotiate various agreements including purchase agreements, shareholder agreements, and operating agreements.
  • Assist clients with entity formation, structuring, and related corporate governance issues.
  • Conduct due diligence reviews and closings for mergers and acquisitions.
  • Provide strategic legal advice and risk assessment to clients on business transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school in the United States.
  • Licensed to practice law in the state of Minnesota.
  • 5-10 years of experience in business, corporate law, and mergers & acquisitions.
  • Proven track record in handling complex M&A transactions and corporate governance matters.
  • Strong research, analytical, and writing skills with attention to detail.
  • Ability to work independently and collaboratively within a team environment.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited United States law school.
  • Admission to the State Bar of Minnesota.

Skills:

  • Expertise in mergers and acquisitions, including due diligence and transaction closings.
  • Proficiency in drafting legal documents such as purchase agreements and corporate governance documents.
  • Excellent communication skills, both written and verbal.
  • Ability to manage multiple priorities and meet deadlines effectively.
  • Strong interpersonal skills for client interaction and relationship-building.
