Location:

Duties:

  • Advise public companies on securities regulation, including Exchange Act disclosure requirements and corporate governance matters.
  • Draft and review SEC filings, including proxy statements, annual reports, and other required disclosure documents.
  • Provide guidance on corporate governance best practices and compliance.
  • Assist clients in responding to regulatory inquiries and managing compliance-related risks.
  • Conduct legal research and provide strategic advice on securities law issues.
  • Collaborate with senior attorneys to support business development and client relationship management.
  • Stay up to date on developments in securities regulation and corporate governance standards.

Requirements:

  • 3-5 years of experience in securities regulation and corporate governance.
  • Strong academic credentials from a top-tier law school.
  • Experience advising public companies on disclosure and corporate governance practices.
  • Excellent written and oral communication skills.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.
  • Admission to the State Bar or eligibility for admission.

Education:

  • J.D. from an accredited law school (Graduation years 2020–2022 preferred).

Certifications:

  • Admission to the State Bar or eligibility to apply.

Skills:

  • Expertise in securities regulation and corporate governance matters.
  • Strong legal research, writing, and analytical skills.
  • Familiarity with SEC filing requirements and corporate governance frameworks.
  • Exceptional attention to detail and ability to communicate complex legal concepts effectively.
