Job Overview:
A law firm in Miami, FL is seeking a talented Junior to Mid-Level Associate Attorney specializing in Corporate Finance to join their dynamic team. The role provides an exciting opportunity to work with clients across various industries and handle a broad range of finance transactions. This position involves substantial responsibilities in deal management, client interactions, and delivering high-quality legal work within the firm’s Corporate Finance Practice.

Duties:

  • Represent lenders and borrowers in a variety of financial transactions.
  • Draft, review, and revise key finance documents including credit agreements, debt commitment letters, and security agreements.
  • Manage closing deliverables such as secretary's certificates, resolutions, legal opinions, schedules, and exhibits.
  • Handle syndicated credit facilities, acquisition financings, and private credit facility transactions.
  • Engage in deal management and actively participate in client communications.
  • Work with private equity sponsors and portfolio companies, where applicable.

Requirements:

  • 2-4 years of experience in corporate or finance law.
  • Demonstrated expertise in finance transactions, including both lender and borrower representations.
  • Strong background in broadly syndicated credit facilities, acquisition financing, and private credit.
  • Proven experience drafting and revising complex financial documentation.
  • Excellent communication and teamwork skills with a proactive and diligent work ethic.

Education:

  • A strong academic background with a focus on law.

Certifications:

  • Admission to one or more State Bars is required.

Skills:

  • Superior drafting and negotiation skills.
  • Ability to take initiative and manage substantial responsibilities independently.
  • Effective communication skills and comfort in client-facing roles.
  • Strong organizational abilities for handling complex transactions.
