A law firm in Los Angeles, CA is seeking a Joint Ventures Associate Attorney with 3-6 years of experience handling complex real estate joint ventures. The ideal candidate will have a proven track record in drafting and negotiating sophisticated real estate limited liability company (LLC) and partnership agreements. This role requires exceptional writing and communication skills, along with strong academic credentials. A tax LL.M. or familiarity with partnership taxation is preferred but not required. The candidate must be admitted to the California State Bar and have experience in major law firm environments.

Key Responsibilities:

  • Draft, review, and negotiate complex real estate joint venture agreements, including limited liability company and partnership agreements.
  • Advise clients on structuring joint ventures, real estate transactions, and partnerships to meet legal and business objectives.
  • Collaborate with clients and other attorneys to structure real estate investments and partnerships effectively.
  • Analyze and interpret financial and legal documents, including real estate contracts, joint venture agreements, and tax-related documents.
  • Conduct legal research on relevant laws and regulations affecting real estate transactions and joint ventures.
  • Provide strategic counsel on joint venture structuring, partnership tax implications, and long-term investment strategies.
  • Assist in negotiations between clients, investors, and third parties to ensure joint venture agreements are legally sound and aligned with business interests.
  • Participate in client meetings and provide legal expertise throughout the joint venture lifecycle, from inception to execution.
  • Maintain knowledge of industry trends, regulatory changes, and legal developments related to real estate and joint ventures.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school with a high academic standing.
  • 3-6 years of experience in real estate joint ventures, focusing on limited liability company and partnership agreements.
  • Admission to the State Bar of California is required.
  • Major law firm experience preferred, with experience in real estate or joint venture practice areas.
  • Strong contract drafting, negotiation, and legal research skills.
  • Exceptional writing and communication skills, with the ability to present complex legal issues clearly to clients and partners.
  • Proven ability to work collaboratively with clients, legal teams, and external parties.
  • Strong understanding of partnership taxation and real estate financing is highly desirable.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the California State Bar in good standing.
  • A tax LL.M. or familiarity with partnership tax is a plus but not required.
