A law firm is seeking a Senior Mergers And Acquisitions And Energy Transactional Associate Attorney with the following responsibilities, qualifications, and attributes:

Job Overview:

The Senior Mergers And Acquisitions And Energy Transactional Associate Attorney will primarily focus on handling complex mergers and acquisitions transactions within the energy sector. The role requires a blend of legal expertise, strong communication skills, and the ability to navigate intricate business relationships.

Duties:

  • Manage mergers and acquisitions transactions from inception to closing, including due diligence, drafting and negotiating transactional documents, and advising clients on deal structures.
  • Provide legal counsel on energy-related matters, including renewable energy projects, oil & gas transactions, project development, and construction contracts.
  • Collaborate with clients, business partners, and legal teams to develop comprehensive legal strategies that align with business objectives.
  • Conduct legal research and analysis to ensure compliance with relevant laws, regulations, and industry standards.
  • Assist in the development and implementation of corporate governance policies and procedures.

Requirements:

  • 3-5 years of experience in mergers & acquisitions or project finance within a reputable law firm, preferably with exposure to a national firm environment.
  • Proficiency in handling complex transactions related to renewable energy, oil & gas, project development, or construction contracts.
  • Strong interpersonal skills with the ability to effectively communicate and collaborate with clients and multidisciplinary teams.
  • Exceptional academic record with demonstrated excellence in legal writing and oral advocacy.
  • Licensed to practice law in Texas preferred, with a solid understanding of Texas law and regulations.

Education & Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of Texas or eligibility for admission through reciprocity.

Skills:

  • Comprehensive understanding of mergers and acquisitions processes, including due diligence, negotiation, and deal structuring.
  • Proficiency in drafting and reviewing transactional documents, such as purchase agreements, merger agreements, and disclosure schedules.
  • Sound knowledge of energy law, including regulatory frameworks, industry trends, and commercial transactions.
  • Ability to work autonomously and manage multiple priorities in a fast-paced environment.
  • Strong analytical and problem-solving skills with attention to detail and accuracy.
