A law firm in Atlanta is seeking a highly skilled Corporate Associate Attorney with a strong background in mergers and acquisitions (M&A), venture capital, and/or public securities. The ideal candidate will have 5+ years of relevant experience, excellent academic credentials, and exceptional writing skills. Experience in a large law firm is strongly preferred. The candidate must be admitted to the Georgia Bar or committed to becoming a member of the Georgia Bar.

Key Duties and Responsibilities:

  • Advise clients on a variety of corporate matters, including mergers and acquisitions, venture capital transactions, and public securities offerings.
  • Draft, review, and negotiate complex legal documents related to corporate transactions, including purchase agreements, investment agreements, and securities filings.
  • Conduct due diligence and legal analysis to support transactional work and ensure compliance with relevant laws and regulations.
  • Collaborate with clients and other legal professionals to develop and execute strategic plans for corporate transactions.
  • Provide legal counsel on corporate governance, compliance issues, and regulatory matters.
  • Manage and coordinate with internal teams and external stakeholders to facilitate smooth and efficient transaction processes.
  • Represent clients in negotiations and communications with regulatory agencies, investors, and other parties involved in corporate transactions.
  • Stay current with developments in corporate law, including changes in regulations and industry trends, to provide informed and strategic legal advice.

Requirements:

  • 5+ years of experience in mergers and acquisitions, venture capital, and/or public securities.
  • Strong academic credentials from a top-tier law school.
  • Exceptional writing and analytical skills.
  • Experience in a large law firm is strongly preferred.
  • Admitted to the Georgia Bar or committed to becoming a member of the Georgia Bar.
  • Proven track record of handling complex corporate transactions and providing high-quality legal counsel.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active Georgia State Bar license or commitment to obtain.

Skills:

  • In-depth knowledge of corporate law, including M&A, venture capital, and public securities regulations.
  • Strong drafting, negotiation, and analytical skills.
  • Excellent communication and client management abilities.
  • Ability to work independently and collaboratively within a team environment.
