Job Overview:
A prestigious law firm is seeking a highly motivated Corporate Associate Attorney to join its dynamic Transactions Practice Group. This position offers an exciting opportunity to work on a broad spectrum of corporate law, including venture capital, mergers and acquisitions, private equity, and general corporate counseling. The ideal candidate will be comfortable engaging with both clients and partners, contributing to the firm's collaborative, growth-focused culture.

Duties:

  • Handle emerging companies & venture capital (ECVC) financing, mergers & acquisitions, private equity transactions, and other commercial agreements
  • Provide legal counsel to private and public companies, private equity funds, investors, and entrepreneurs
  • Draft and manage complex legal documents related to corporate transactions
  • Assist in project management, ensuring efficient and effective legal solutions
  • Maintain regular direct interaction with senior attorneys, clients, and stakeholders
  • Advise on general corporate matters, including corporate governance, joint ventures, and dispositions

Requirements:

  • 2-5 years of relevant corporate legal experience
  • Proven experience in venture capital financing, M&A, private equity, and general corporate law
  • Strong project management capabilities and a collaborative approach to legal work
  • Ability to manage sophisticated legal documents with precision
  • Excellent interpersonal and communication skills
  • Strong attention to detail and high-level organizational abilities

Education:

  • Juris Doctor (JD) from an ABA-accredited law school
  • Active member in good standing with the New York State Bar (or ability to meet timely admission requirements upon hire)

Certifications:

  • Must be admitted to the New York State Bar or meet timely admission requirements upon hire

Skills:

  • Exceptional drafting and legal writing skills
  • Excellent verbal communication and negotiation skills
  • Ability to work effectively in a team environment and with clients
  • Ability to thrive in a fast-paced, client-facing role
