Job Overview:
A prestigious law firm is seeking a highly motivated Corporate Associate Attorney to join its dynamic Transactions Practice Group. This position offers an exciting opportunity to work on a broad spectrum of corporate law, including venture capital, mergers and acquisitions, private equity, and general corporate counseling. Duties:

• Handle emerging companies & venture capital (ECVC) financing, mergers & acquisitions, private equity transactions, and other commercial agreements
• Provide legal counsel to private and public companies, private equity funds, investors, and entrepreneurs
• Draft and manage complex legal documents related to corporate transactions
• Assist in project management, ensuring efficient and effective legal solutions
• Maintain regular direct interaction with senior attorneys, clients, and stakeholders
• Advise on general corporate matters, including corporate governance, joint ventures, and dispositions

Requirements:

• 2-5 years of relevant corporate legal experience
• Proven experience in venture capital financing, M&A, private equity, and general corporate law
• Strong project management capabilities and a collaborative approach to legal work
• Ability to manage sophisticated legal documents with precision
• Excellent interpersonal and communication skills
• Strong attention to detail and high-level organizational abilities

Education:

• Juris Doctor (JD) from an ABA-accredited law school
• Active member in good standing with the New York State Bar (or ability to meet timely admission requirements upon hire)

Certifications:

• Must be admitted to the New York State Bar or meet timely admission requirements upon hire
