Job Overview:
A well-established law firm is seeking a Finance and Restructuring Associate with 3 to 6 years of experience to join its Finance & Restructuring practice group. This position offers an opportunity to work on high-level commercial finance transactions with a diverse range of financial institutions, private companies, and public sector clients. The role includes drafting complex financial documents, advising on loan compliance, managing due diligence teams, and providing strategic legal advice to clients. The position is hybrid and available across various office locations.

Location:

  • Minneapolis, MN.

Duties:

  • Draft and review corporate finance and restructuring documents, including loan agreements, security agreements, and intercreditor agreements.
  • Advise clients on compliance with loan covenants, financial regulations, and restructuring strategies.
  • Manage and lead due diligence teams for commercial finance transactions.
  • Structure, negotiate, and close loan originations, real estate financings, and related transactions.
  • Work directly with clients, financial institutions, and private credit clients to provide tailored legal solutions.
  • Handle multiple assignments with minimal supervision while maintaining high standards of quality.
  • Collaborate with senior attorneys on complex legal matters, including advising on finance transactions and corporate restructuring.

Requirements:

  • 3 to 6 years of experience in corporate finance, commercial finance, or restructuring law.
  • Proven experience in drafting loan, security, intercreditor agreements, and other related financial documents.
  • In-depth understanding of covenant compliance, financial regulations, and the commercial finance process.
  • Strong ability to manage due diligence processes and lead legal teams.
  • Experience with real estate financings is preferred but not required.
  • Excellent verbal and written communication skills.
  • Ability to manage multiple projects and deadlines with minimal supervision.
  • Strong interpersonal and client relationship management skills.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Admission to the relevant state bar (based on office location).

Skills:

  • Strong legal writing and drafting skills.
  • Analytical and problem-solving abilities.
  • Proficient in corporate finance law, loan originations, and real estate financings.
  • Experience in managing legal teams and overseeing large, complex transactions.
  • Proficiency with Microsoft Office Suite and legal research tools.
  • Strong client service and communication skills.
