A law firm seeks an experienced Of Counsel attorney with specialized expertise in franchise and distribution law to join its transactional practice. This role involves drafting franchise-related agreements, handling regulatory filings, and providing strategic advice on intricate franchise and business transactions. The ideal candidate has extensive U.S. franchising experience, with international franchising and M&A experience as added advantages. Flexible work options are available, with the ability to work remotely or from the New York City office.

Duties

  • Draft and manage franchise agreements, disclosure documents, and regulatory filings to ensure compliance with U.S. franchising regulations.
  • Provide advisory services on complex franchise transactions, guiding clients through regulatory and business challenges.
  • Counsel both domestic and international clients, including startups, private equity firms, and large franchisors, on franchise law matters.
  • Collaborate with international businesses looking to expand into the U.S. market.
  • Offer strategic guidance on mergers, acquisitions, and related franchising issues.

Requirements

  • Minimum of 8 years of experience in transactional franchise law, with a strong understanding of U.S. franchising regulations.
  • Active State Bar admission in New York or eligibility for admission by waiver.
  • Proven expertise in drafting franchise agreements and navigating regulatory requirements.
  • Strong analytical skills and the ability to provide insightful, solution-oriented advice.
  • Ability to work independently and within a collaborative team environment.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active membership in good standing with the New York State Bar or eligibility for admission by waiver.
