A law firm seeks a mid-level Associate Attorney with a minimum of three years of experience to join its Business Group in Washington, DC. This role involves advising both emerging and established businesses on various transactions, including capital raises, governance, and entity formation. The successful candidate will work with clients across multiple industries, supporting growth and financing initiatives while collaborating with skilled attorneys from multiple offices.

Duties

  • Assist clients with entity selection, formation, and structuring of organizational and governance frameworks.
  • Advise on day-to-day legal matters for small to large businesses.
  • Manage capital raise transactions, including private offerings and debt/equity financing through angel investors, venture capital, and traditional financial institutions.
  • Provide counsel on public company issues, capital markets, and mergers and acquisitions (M&A).
  • Collaborate with team members on diverse projects, ensuring consistency in client service and transactional success.

Requirements

  • Experience: 3+ years in corporate governance, counseling on early-stage capital raises, and private offerings; additional expertise in public companies, capital markets, and M&A is advantageous.
  • Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: Exceptional analytical, organizational, and writing abilities.
  • Client Focus: Dedication to providing responsive, professional service with strong communication skills.
  • Teamwork: Ability to work effectively within a diverse, collaborative team environment.
  • Project Management: Skilled at managing multiple concurrent projects.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.
