A law firm seeks an experienced Finance Associate Attorney to join its San Francisco office. The successful candidate will have 4+ years of experience in structured finance transactions, including securitization and other capital markets matters. This is an exciting opportunity to work in a collaborative environment with a team that specializes in complex financial transactions, offering significant exposure to high-profile clients and transactions.

Duties:

  • Draft and review complex commercial contracts, including pooling and servicing agreements, administration agreements, indentures, and trust agreements.
  • Provide legal opinions, including bankruptcy opinions, related to financial transactions.
  • Manage financial transactions from start to finish, ensuring all transaction documents are properly prepared and executed.
  • Oversee the work of junior associates and collaborate with senior attorneys to ensure smooth transaction processes.
  • Handle all aspects of commercial law, including UCC matters, securities law, and bankruptcy-related issues.
  • Advise clients on complex financial transactions and help solve intricate legal issues related to finance and lending.

Requirements:

  • 4+ years of experience in finance law, particularly with structured finance, securitization, and capital markets transactions.
  • Solid understanding of commercial law, including UCC, securities law, and bankruptcy-related matters.
  • Experience drafting complex legal documents such as trust agreements, indentures, and legal opinions.
  • Ability to manage financial transactions, from drafting documents to overseeing junior associates and ensuring successful transaction closures.
  • Proven ability to work collaboratively with both junior and senior team members.
  • Strong legal research, analytical, and problem-solving skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Admitted to and in good standing with the California State Bar.

Skills:

  • Expertise in structured finance and capital markets transactions.
  • Excellent drafting, writing, and analytical skills.
  • Strong organizational skills and the ability to manage multiple, complex transactions.
  • Excellent communication and interpersonal skills to effectively collaborate with clients and team members.
  • High attention to detail and ability to manage deadlines under pressure.
