Job Overview:
A prestigious law firm is currently seeking a mid to senior-level Finance Associate or Senior Associate with 4-6 years of experience to join its Dallas office. The ideal candidate will have expertise in representing commercial bank and private credit lenders, private equity and corporate borrowers, and investors in various debt financing and hybrid investment transactions. This includes handling senior-secured, junior-secured, and mezzanine loans, acquisition financings, and other structured financings and investments.

Duties:

  • Represent commercial bank and private credit lenders, private equity and corporate borrowers, and investors in debt financing and hybrid investment transactions.
  • Handle senior-secured, junior-secured, and mezzanine loans, acquisition financings, and other structured financings and investments.
  • Draft and negotiate loan agreements, security agreements, intercreditor agreements, and other financing documents.
  • Provide legal counsel on complex financial structures and transactions.
  • Collaborate with clients and other legal teams to develop tailored legal strategies.
  • Stay up-to-date on current market trends and developments within the finance sector.

Requirements:

  • 4-6 years of relevant experience in finance law (2019-2021).
  • Strong understanding of debt financing and hybrid investment transactions.
  • Demonstrated ability to manage complex legal matters and transactions.
  • Excellent communication, negotiation, and analytical skills.
  • Ability to work effectively in a fast-paced environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admitted to practice law in the state of Texas.

Skills:

  • In-depth knowledge of senior-secured, junior-secured, and mezzanine loans, acquisition financings, and structured financing.
  • Strong drafting and negotiation skills.
  • Ability to work independently as well as within a team.
  • Ability to manage multiple priorities and deadlines effectively.
