Job Overview: A law firm in Boston, MA, is seeking a talented Mid-Senior Level Capital Markets Associate Attorney with extensive experience in public and private equity offerings, SEC compliance, and corporate governance matters.

Duties:

  • Represent clients in public and private equity offerings, including IPOs and follow-on offerings.
  • Draft and review proxy statements and S-4 registration statements for business combination transactions.
  • Ensure compliance with SEC regulations and ongoing reporting requirements under the ’34 Act (10-Ks, 10-Qs, 8-Ks, proxy statements).
  • Advise on corporate governance matters and regulatory compliance for public companies.
  • Counsel clients on day-to-day legal issues and strategic initiatives.
  • Manage client relationships and foster new business development opportunities.

Requirements:

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to one or more State Bars.
  • 4+ years of relevant experience in capital markets and securities law.
  • Experience representing both issuers and underwriters preferred.
  • Familiarity with SPACs, REITs, and debt offerings is beneficial.
  • Strong academic background with excellent drafting and negotiation skills.
  • Ability to manage multiple projects and work effectively under deadlines.
  • Proven track record of client retention and business development.
