Job Overview

A law firm seeks a highly skilled Senior Associate with 5–7 years of corporate transactional experience to join its Corporate Practice Group. This role offers the opportunity to handle high-level mergers and acquisitions, corporate governance matters, and complex commercial transactions. The ideal candidate will take on significant responsibility, contribute to high-profile deals, and provide strategic counsel to clients on corporate matters.

Duties

  • Lead private company mergers and acquisitions from inception to completion, including drafting and negotiating transaction documents.

  • Advise clients on corporate governance, board responsibilities, and compliance matters.

  • Draft, review, and negotiate a variety of sophisticated commercial agreements.

  • Structure and draft shareholder and LLC agreements that align with business goals.

  • Provide comprehensive legal support on general corporate matters.

Preferred Experience

  • Knowledge of private equity transactions and deal structures.

  • Experience managing or leading complex M&A transactions.

  • Understanding of private securities offerings, including compliance with Regulation D and other securities laws.

Requirements

  • Strong leadership and project management abilities.

  • Excellent writing, drafting, and verbal communication skills.

  • Entrepreneurial mindset with a proactive, solution-focused approach.

  • Self-motivated with the ability to manage responsibilities independently.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Licensed to practice law in the state of Illinois and in good standing with the Illinois State Bar.

  • Strong attention to detail and ability to manage multiple deals simultaneously.

  • Ability to collaborate effectively with internal teams and external stakeholders.
