Job Overview:

The Mid-Level Private Equity Associate Attorney will provide legal counsel on various corporate matters, ensuring timely and accurate work product while fostering positive client and colleague relationships.

Duties:

• Advise private equity firms and portfolio companies on mergers, acquisitions, and other corporate transactions.
• Draft and negotiate transactional documents, including purchase agreements and financing documents.
• Conduct legal research and analysis related to complex legal issues.
• Provide strategic counsel to clients on business and legal implications.
• Manage and coordinate due diligence processes.
• Assist in business development activities and client presentations.

Requirements:

• JD degree from an accredited law school.
• Admitted to practice law in Virginia.
• Minimum 3 years of experience advising on private equity transactions.
• Experience in an AmLaw 100 law firm or SEC environment preferred.
