A law firm in Seattle, WA, seeks a Debt and Leveraged Finance Counsel to join their corporate group and contribute to their expanding debt and leveraged finance practice. The ideal candidate will handle a diverse range of debt transactions, including syndicated credit facilities, asset-based loans, subordinated loans, and acquisition financings, primarily representing borrowers. Experience with technology or life sciences sectors and familiarity with out-of-court insolvency or restructuring transactions is advantageous.

Duties and Responsibilities:

  • Manage and execute various debt and finance transactions, including syndicated credit facilities, asset-based loan facilities, working capital facilities, subordinated loans, equipment leasing, and acquisition financings.
  • Represent borrowers in negotiations and transactions, ensuring compliance with legal and regulatory requirements.
  • Provide strategic advice on out-of-court insolvency or restructuring matters as needed.
  • Collaborate effectively with clients, internal teams, and external stakeholders to achieve successful outcomes.
  • Stay updated with industry trends and regulatory changes impacting debt and leveraged finance transactions.

Requirements:

  • JD from an accredited law school; admission to the Bar in Washington state.
  • 5-8 years of experience in leveraged or banking finance with a strong emphasis on borrower representation.
  • Demonstrated expertise in handling complex debt transactions, preferably including syndicated credit facilities and acquisition financings.
  • Experience with out-of-court insolvency or restructuring transactions is desirable.
  • Superior academic credentials with exceptional oral, written, and interpersonal communication skills.
  • Affinity for technology and/or life sciences industries is a plus.
