Job Overview: A prominent law firm is seeking an experienced Corporate Attorney with a strong background in mergers and acquisitions (M&A), particularly in private equity buy-side transactions. This role offers the opportunity to work on high-growth, M&A-adjacent matters while leading deals involving representations & warranties insurance (RWI) underwriters. The ideal candidate will have hands-on experience with M&A due diligence, transaction negotiations, and a desire to expand their business development skills. This is a hybrid position offering both leadership opportunities and the ability to grow within a collaborative, high-performing team.

Location:

Duties:

  • M&A Transaction Leadership:
    • Lead due diligence teams and manage key aspects of M&A transactions.
    • Serve as a key member of private equity M&A deal teams, managing complex deal structures and negotiations.
    • Coordinate subject matter experts and handle intricate deal issues.
  • Representations & Warranties Insurance (RWI):
    • Lead deals involving RWI underwriters in the placement of insurance during transactions.
    • Collaborate with underwriters and clients to ensure proper insurance coverage for the deal.
  • Deal Coordination:
    • Bring order to the deal process by streamlining workflows and enhancing the quality and timeliness of work product.
    • Leverage technology and support staff to improve efficiency.
  • Business Development:
    • Grow both legal practice and client relationships through active business development.
    • Play an integral role in expanding the firm’s presence in the M&A and private equity sectors.

Requirements:

  • Minimum of 4 years of experience in M&A transactions, preferably with a focus on private equity buy-side deals.
  • Proven experience leading M&A due diligence and negotiating key transactions.
  • Experience working with representations & warranties insurance (RWI) on M&A transactions.
  • Strong track record of working as part of a deal team and managing complex legal matters.
  • Familiarity with modern collaboration tools (e.g., Teams, Office 365, etc.).
  • A growth mindset focused on both legal practice and business development.
  • Strong ability to work in a collaborative, fast-paced environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Licensed to practice law in the relevant jurisdiction.

Certifications:

  • None required, but additional certifications in corporate law or M&A transactions are a plus.

  • Expertise in M&A transactions and private equity buy-side matters.
  • Strong leadership skills in managing teams and overseeing complex deals.
