Job Overview: A dynamic law firm in Midtown Manhattan is seeking a skilled attorney with 3-5 years of experience in commercial real estate and lender representation. This full-time position involves managing all aspects of sophisticated commercial real estate lending transactions, from drafting loan documents to overseeing property acquisitions and financing. Duties:

  • Represent institutional lenders in financing commercial, residential, and mixed-use properties from inception to closing.
  • Draft commercial loan documents, including mezzanine, construction, balance sheet, and bridge loans.
  • Review organizational documents for borrowing entities.
  • Review and negotiate commitment letters, term sheets, fee letters, credit agreements, and ancillary loan documents.
  • Review commercial leases and assist with real estate-secured finance transactions, workouts, and restructurings.
  • Handle assignments of existing mortgages for CEMA transactions.
  • Review title reports, surveys, and manage title clearance.
  • Advise on lending and debt finance matters related to property acquisitions, leveraged buyouts, recapitalizations, refinancing, and other transactions.

Requirements:

  • 3-5 years of experience in commercial real estate and lender representation.
  • Proficiency in drafting and reviewing complex commercial loan documents.
  • Strong analytical, organizational, and prioritization skills.
  • Excellent legal research, writing, and communication abilities.
  • Ability to thrive in a fast-paced environment and manage multiple transactions.
  • Hands-on experience with Microsoft 365.
  • Admission to the New York State Bar (required).

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active New York State Bar license (required).

Skills:

  • Expertise in commercial real estate and lender representation.
  • Strong legal drafting and negotiation skills.
  • Ability to handle complex financing transactions from start to finish.
  • Excellent client communication and relationship-building skills.
  • Proficient in legal software and case management tools.
