Job Overview

A law firm seeks an experienced Finance & Restructuring Counsel to represent financial institutions and corporate trust clients in a variety of sophisticated financial transactions. This role requires extensive experience in structured finance, municipal debt, and corporate debt transactions. The ideal candidate will possess strong contract negotiation skills, a deep understanding of financial regulatory frameworks, and the ability to manage multiple deals with minimal supervision.

Duties

  • Advise financial institutions and corporate trust entities on structured finance, municipal, and corporate debt transactions.
  • Draft, review, and negotiate a broad range of financial agreements, including trust indentures, loan agreements, custodial agreements, servicing contracts, and SaaS/software license agreements.
  • Ensure compliance with regulatory and contractual obligations across various financial transactions.
  • Collaborate with internal teams and external stakeholders to structure and close complex transactions efficiently.
  • Manage multiple projects simultaneously while maintaining high attention to detail.
  • Provide mentorship and guidance to junior attorneys and legal staff.

Requirements

  • A minimum of seven years of experience in finance, restructuring, or transactional law.
  • Extensive knowledge of structured finance, corporate trust, and financial services transactions.
  • Strong background in drafting and negotiating complex financial agreements.
  • Ability to work independently and manage high-stakes transactions with minimal oversight.
  • Excellent analytical, communication, and problem-solving skills.
  • Leadership experience with the ability to mentor junior team members.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active bar membership in at least one U.S. jurisdiction.
