Duties:

  • Manage complex finance transactions, including debt and equity financing.
  • Work on private equity acquisition finance matters, with a particular focus on oil and gas-related transactions.
  • Represent both borrowers and lenders in financing arrangements.
  • Provide strategic legal guidance to clients on financial structuring and related matters.
  • Draft, review, and negotiate complex financing documents.
  • Conduct legal research and analysis to support financial transactions and regulatory compliance.
  • Assist senior attorneys in the preparation and presentation of cases in court, if necessary.
  • Maintain and grow client relationships through proactive communication and exceptional service.

Requirements:

  • 4-7 years of experience in debt finance, preferably at a peer law firm.
  • Strong experience in private equity acquisition finance, with exposure to oil and gas transactions preferred.
  • Demonstrated experience representing both borrowers and lenders.
  • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Excellent communication and negotiation skills.
  • A strong client-focused approach with the ability to work both independently and collaboratively.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active Bar membership in Texas (or eligibility to obtain Texas Bar membership).

Skills:

  • Advanced understanding of corporate finance and debt transactions.
  • Proficient in legal research and financial analysis.
  • Strong written and verbal communication skills.
  • Detail-oriented with the ability to manage complex documentation.
