Job Overview: A prestigious law firm is seeking a mid-level associate to join its fund formation and investment management team. The ideal candidate will have experience in private equity, venture capital, and hedge fund management. This role provides an opportunity to work on various aspects of fund structuring, investment advisory, and compliance.

Location:

  • Miami, FL

Duties:

  • Assist in forming and structuring general partner (GP) and management company entities

  • Support investment fund formation and structuring

  • Represent investors in side letter negotiations

  • Advise on investment opportunities with third-party managers

  • Manage fundraising processes and ensure regulatory compliance

  • Provide day-to-day legal counsel to fund managers

Requirements:

  • 4 to 6 years of relevant experience in a large law firm setting

  • Background in fund formation and investment adviser work

  • Strong understanding of Federal securities laws, including the '33 Act, '34 Act, Investment Company Act, and Investment Advisers Act

  • Familiarity with fund economics and drafting fund agreements

  • Ability to manage multiple tasks in a fast-paced environment

  • Excellent written and verbal communication skills

  • Highly detail-oriented and analytical

Education:

  • Juris Doctor (JD) from an accredited law school

  • Strong academic history preferred

Certifications:

  • Admission to practice law in the applicable jurisdiction (Florida or Illinois)

  • Eligible for admission if not currently licensed in the specified location
