Job Overview: A law firm seeks an experienced and dynamic ECVC Associate Attorney to join their San Francisco, CA office. The successful candidate will lead transactions, interact directly with founders, CEOs, management teams, and boards of directors at company-side clients, and engage with VC and other investor-side clients. The role requires a seasoned professional with 5-7 years of experience in ECVC.

Key Duties:

  • Lead and manage complex ECVC transactions from inception to completion.
  • Provide strategic legal advice to company-side clients, including startups and emerging companies.
  • Engage directly with founders, CEOs, management teams, and board directors to address legal and business needs.
  • Work closely with VC and other investor-side clients to facilitate investment transactions.
  • Draft, review, and negotiate various transactional documents, including financing, stock purchase, and shareholder agreements.
  • Conduct due diligence and manage transactional processes.
  • Ensure compliance with relevant laws and regulations.
  • Collaborate with other attorneys and staff to provide comprehensive legal services.
  • Participate in client meetings and offer actionable insights on legal matters.
  • Mentor junior associates and guide on ECVC-related matters.

Requirements:

  • 5-7 years of ECVC experience.
  • Demonstrated ability to lead and manage ECVC transactions.
  • Strong understanding of venture capital financing, mergers and acquisitions, and corporate governance.
  • Proven track record of working with company-side clients, including startups.
  • Experience interacting with VC and investor-side clients.
  • Exceptional drafting, negotiation, and analytical skills.
  • Excellent communication and interpersonal skills.
  • Ability to work collaboratively in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California Bar.

Certifications:

  • Active membership in the State Bar of California.
  • Certifications in corporate or securities law (preferred but not required).

Skills:

  • Expertise in ECVC transactions and venture capital financing.
  • Strong legal research and writing skills.
  • High level of attention to detail.
  • Ability to think strategically and provide practical solutions.
