Job Overview: A law firm seeks a highly skilled Senior-Level Corporate Associate Attorney to provide expert legal counsel on mergers and acquisitions, corporate governance, and related matters. The role involves drafting complex transactional documents, managing due diligence investigations, and representing clients in negotiations and dispute resolution processes.

Job Duties:

  • Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and related matters.
  • Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements.
  • Conducted due diligence investigations and prepared comprehensive reports for clients.
  • Manage and oversee junior associates and paralegals on various transactions.
  • Collaborate with cross-functional teams to ensure seamless execution of deals.
  • Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients.
  • Represent clients in negotiations, mediation, and other dispute-resolution processes when necessary.
  • Ensure compliance with public securities and stock exchange regulations (e.g., 34 Act, 33 Act).

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • 5 years of experience in law firm practice, focusing on mergers and acquisitions, securities matters, and lending work.
  • Strong knowledge of corporate law, securities regulations, and corporate governance principles.
  • Excellent drafting and negotiation skills, with meticulous attention to detail.
  • Proven ability to manage multiple complex projects simultaneously.
  • Exceptional analytical and problem-solving abilities.
  • Outstanding interpersonal and communication skills, both written and verbal.
  • Ability to work independently and collaboratively in a fast-paced environment.

Certifications and Skills:

  • Admission to the DC Bar is required.
  • Experience with public securities and stock exchange compliance is a plus.
