Duties:

  • Advise clients on private credit transactions, including structuring, negotiating, and documenting deals.
  • Handle various financing transactions such as cash flow deals, acquisitions, leveraged buyouts, and recapitalizations.
  • Draft and review loan agreements, credit facilities, and related documents.
  • Represent clients in negotiations with lenders and other stakeholders.
  • Manage due diligence processes and perform legal research related to financing matters.
  • Provide strategic legal advice to clients on complex financing structures and risk management.
  • Collaborate with other attorneys and professionals within the firm to deliver comprehensive legal solutions.
  • Maintain up-to-date knowledge of relevant laws, regulations, and industry trends.

Requirements:

  • 3-6 years of experience in private credit or finance matters at a nationally recognized law firm or relevant legal experience.
  • Demonstrated experience with lending transactions and exposure to borrower-side matters is a plus.
  • Experience with various financing transactions, including cash flow deals, acquisitions, leveraged buyouts, and recapitalizations.
  • Knowledge of asset-based financings, restructurings, and workouts is advantageous.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar (North Carolina Bar admission preferred).
