Job Overview

A law firm seeks an experienced finance attorney to join its finance and restructuring practice as a Counsel. This position is ideal for a candidate with substantial expertise in transactional law, particularly in the areas of structured finance, corporate trust transactions, and corporate debt issuances. The successful individual will work closely with financial institutions and corporate trust clients on a range of complex transactions, providing counsel and legal guidance.

Duties

  • Represent financial institutions and corporate trust clients in various financial transactions, including structured finance, municipal debt, and corporate debt issuances.
  • Draft, review, and negotiate a variety of complex agreements, such as trust indentures, loan agreements, custodial contracts, SaaS, and software licensing agreements.
  • Collaborate with teams to structure, implement, and execute transactions while ensuring compliance with legal and regulatory requirements.
  • Manage and prioritize multiple ongoing transactions independently, ensuring efficiency and precision.
  • Mentor junior attorneys and support staff, providing guidance and oversight on matters related to financial transactions.
  • Build and maintain strong relationships with clients, offering practical and strategic legal solutions to meet their evolving needs.

Requirements

  • A minimum of seven years of transactional experience, especially in structured finance, corporate trust, or corporate debt matters.
  • Proven experience in drafting and negotiating complex financial agreements.
  • Demonstrated ability to manage multiple transactions with minimal supervision, maintaining high levels of efficiency.
  • Strong interpersonal and communication skills, capable of effectively working in a collaborative team environment.
  • Detail-oriented, with a high standard of accuracy in legal and financial documentation.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active membership in the state bar where the candidate intends to practice.
